1. Acceptance of Terms
By accessing or using Semi AI ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users, including drivers, dispatchers, brokers, and company owners.
2. Description of Service
Semi AI is a software platform that connects trucking industry participants. The Platform provides tools for load assignment, Bill of Lading (BOL) document submission, GPS location sharing, real-time chat between drivers and dispatchers or brokers, and carrier/broker directory services. The Platform does not broker freight, dispatch trucks, or employ drivers.
3. User Accounts and Roles
You must register an accurate account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials. Each account is assigned a role (driver, dispatcher, broker, or owner). You may not share your account or impersonate another user. Company owners and dispatchers are responsible for the accuracy of driver and company information they enter or manage.
4. Subscriptions and Billing
Access to certain portals and features requires an active subscription. Payments are processed through our third-party payment provider. Subscriptions auto-renew unless cancelled. You are responsible for all charges incurred under your account. We reserve the right to suspend access for non-payment.
5. User Content and Data
You retain ownership of content you submit, including BOL images, inspection documents, GPS locations, and messages. By submitting content, you grant us a limited license to store, display, and share it with the intended recipients (e.g., sharing a BOL with a dispatcher, or GPS location with a broker) solely to operate the Platform. You represent that you have the right to share all submitted content.
6. Acceptable Use
You agree not to: (a) use the Platform for any illegal purpose; (b) submit false, fraudulent, or misleading information including fake MC or DOT numbers; (c) harass, threaten, or spam other users; (d) attempt to access data or accounts belonging to other users without authorization; (e) reverse engineer or disrupt the Platform; (f) upload malware or harmful code.
7. Data Accuracy and Compliance
You are solely responsible for ensuring that all data entered into the Platform, including driver credentials, load details, and company information, is accurate and compliant with applicable laws and regulations (including FMCSA, DOT, and HOS regulations). The Platform is a tool and does not verify regulatory compliance on your behalf.
8. Intellectual Property
All software, designs, logos, and content provided by Semi AI are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our written consent.
9. Termination
We may suspend or terminate your account at any time for violation of these terms, non-payment, or other conduct we deem harmful to the Platform or other users. You may cancel your subscription at any time. Upon termination, your right to use the Platform ceases immediately, and we may delete your data in accordance with our data retention practices.
10. Disclaimer of Warranties
The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, accuracy of GPS data, delivery of messages in real time, or that the Platform will meet your specific business requirements.
11. Limitation of Liability
To the maximum extent permitted by law, Semi AI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including lost profits, lost loads, accidents, regulatory fines, or data loss.
12. Indemnification
You agree to indemnify and hold harmless Semi AI and its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising out of your use of the Platform, your violation of these terms, or your violation of any rights of another party.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Texas.
14. Changes to Terms
We may update these Terms of Service at any time. Material changes will be communicated via email or through the Platform. Continued use after changes constitutes acceptance.
